    You grant Gukly a non-exclusive, worldwide license to use, modify, and otherwise process Client Materials for the purpose of providing the agreed-upon services.

Confidentiality

Both Gukly and the client agree to keep confidential any proprietary information shared during the collaboration and not disclose it to third parties without prior written consent, unless required by law.

Limitation of Liability

In no event shall Gukly (or its affiliates, directors, employees) be liable for any indirect, incidental, special, or consequential damages (e.g., lost profits, loss of data) arising from use of our services or inability to use them, even if we’ve been advised of such potential damages. Gukly’s total liability shall not exceed the fees paid by you for the services in question.

Warranty Disclaimer

Our services are provided “as is.” We do not guarantee uninterrupted service, error-free performance, or specific results. To the fullest permitted by law, Gukly disclaims all warranties, whether express or implied, including fitness for a particular purpose and non-infringement.

Indemnification

You agree to indemnify and hold Gukly and its team harmless from all claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these terms or your use of our services in violation of any law, rights, or third-party claims.

Payment Terms

Fees, payment schedules, and terms are as specified in your service agreement or invoice. Late payments may incur interest or suspension of services until resolved.

Termination

Either party may terminate the service agreement in writing if the other party materially breaches these Terms and fails to cure it within a specified timeframe (e.g., 15 days). Upon termination, you’ll pay for services rendered up to the termination date, and we’ll return or safely dispose of your materials per your instructions.

Applicable Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Gukly is incorporated (please specify—e.g., Lahore, Punjab, Pakistan). Any disputes shall first be dealt with through good-faith negotiations; if unresolved, disputes may be submitted to arbitration or to an appropriate court in Lahore.

Amendments

We may revise these Terms at our discretion. Updated versions will be posted on the website. Continued use of the site or services after changes constitutes acceptance. Clients entering agreements under earlier versions may continue under those terms, unless otherwise amended by written agreement.

Severability

If any part of these Terms is deemed invalid or unenforceable, that part will be modified to reflect the parties’ original intent. The remaining provisions remain valid and binding.

Entire Agreement

These Terms, along with any service agreement or proposal in place between you and Gukly, constitute the entire agreement regarding services and supersede all prior understandings, negotiations, or agreements.
